Program Description – ALFA Business Litigation Seminar, Chicago, September 5-6, 2019, “Drawing Up the Plans – Preparing for Disputes Before They Arise”
When drafting an agreement, it is important to review the contractual provisions with an eye to how they will be interpreted if the agreement ever results in litigation. This session will include a discussion of often litigated contractual provisions, including indemnification clauses and seller representations and warranties, so that attendees can learn best practices in drafting these important clauses. Additionally, the panel will discuss provisions that can be negotiated to your advantage to shape future litigation that might occur, such as venue, choice of law, and arbitration clauses. The panel consists of both experienced transactional attorneys and business litigators, offering the perspectives of both those working to get the deal done and those assessing future risks.
